MLF Finance has completed its First Securitization Bond Issuance of EGP 1.139 billion.

MLF-Finance has completed its first securitization transaction for its mortgage portfolio, marking a significant milestone in the company’s growth journey. The operation was executed in collaboration with leading financial institutions, including National Bank of Egypt, Banque du Caire, Commercial International Bank (CIB), and Industrial Development Bank, alongside EFG Hermes as financial advisor and underwriting promoter, and MERIS as the credit rating agency for the securitization portfolio.

KPMG served as the financial auditor, while Al-Derini & Partners acted as legal counsel. The transaction was carried out under the supervision of the Financial Regulatory Authority (FRA) and the Central Bank of Egypt (CBE).

MLF-Finance has also secured FRA approval for an ambitious EGP 12 billion securitization program over the next three years. As part of the transaction, the National Bank of Egypt acted as Custodian, while Banque du Caire managed the subscription.

Sameh Abu Bakr, Senior Executive Manager, highlighted that the issuance included multiple tranches with maturities ranging from 13 to 78 months, all of which received strong credit ratings—underscoring the quality of the underlying mortgage portfolio.

Looking ahead, MLF-Finance plans to accelerate its expansion in Egypt’s non-banking financial market through subsidiaries in financial leasing, factoring, and securitization, while exploring innovative financing instruments to strengthen its financial position.

Sherine Khafaji, Executive Director, praised FRA’s regulatory framework, which has enabled the company to scale its operations and maintain a robust, high-quality portfolio with zero defaults. She emphasized MLF’s commitment to serving financially sound customers and maintaining strict risk management standards.

Dr. Zahran also reaffirmed the company’s focus on human capital development as a cornerstone of growth, citing advanced training programs for employees at global institutions such as the Wharton School, Frankfurt Finance, and local entities, including the Banking Institute, American University in Cairo, and the Egyptian Center for Directors of Financial Supervision.

Founded in 2020 through a partnership between Dr. Zahran and six prominent investors, led by businessman Samih Sawiris, MLF-Finance boasts a strong shareholder base, including industry leaders such as Eng. Nihad Rajab (SIAC Holding), Eng. Fathallah Fawzi (Egyptian Businessmen Association), Eng. Mohamed Idris (Mabani Idriss), Eng. Khalil Qandil (Qandil Glass), and Eng. Mohamed Hassan Durra and Omar Durra (Durra Real Estate Development).
